Ush Terms of Service

These Terms of Service (the "Terms" or "TOS") are a binding agreement between you and Ush Technology Ltd, a company incorporated in England and Wales (company number 16376776), with registered office at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom ("Ush", "we", "us", or "our"). They govern your access to and use of the Ush meeting-scheduling service available at ush.team and missioncontrol.ush.team, our applications, and any related features, content, and integrations (collectively, the "Services"). Our Privacy Policy is incorporated into these Terms by reference. By creating an account, signing in with Google, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Acceptance and Changes

We may modify these Terms from time to time. When we make material changes we will update the "Last revised" date and, where required, provide reasonable advance notice (for example, by email or in-product notice). Your continued use of the Services after the effective date of the change constitutes your acceptance of the updated Terms. If you do not agree to a change, you must stop using the Services.

2. Definitions

  • Account — the credentialed account through which you access the Services.
  • User Content — any text, configuration, notes, rules, instructions, files, or other materials you submit to or generate through the Services.
  • Third-Party Account — a third-party service (in particular, your Google Account) that you connect to the Services.
  • Google Workspace Data — data accessed via Google APIs under OAuth scopes you grant, including Gmail messages and metadata, Google Calendar events, and Google profile information.
  • Principal — an individual whose calendar and scheduling decisions are managed within the Services (typically the executive).
  • Executive Assistant or EA — an individual authorised by a Principal to use the Services to schedule on the Principal's behalf.

3. Description of the Services

Ush is an AI-assisted executive-assistant platform. The Services connect to your Google Account (with your authorisation) to read messages relevant to meeting requests, read your calendar availability, draft replies, and create or update calendar events on your behalf. Outputs of the Services — including extracted meeting fields, proposed slots, and draft replies — are produced in part by third-party AI models and may contain errors. You are responsible for reviewing outputs before they are sent or accepted, except for actions you have explicitly authorised the Services to take automatically.

Beta / early access. The Services are currently offered in beta / early access. Features may be incomplete, change without notice, or be removed entirely. The Services may experience interruptions, errors, or data loss that would not be expected of a generally available, production-grade product. Beta features are provided strictly for evaluation, on an "as is" basis, and you agree not to rely on the Services for time-critical decisions without independent verification. We may modify, suspend, or terminate any beta feature at any time without liability.

4. Eligibility and Age

The Services are intended for adult use. By using the Services, you represent that you are at least eighteen (18) years old (or the age of majority in your jurisdiction, if higher) and that you have the legal capacity to enter into these Terms. We do not knowingly permit anyone under sixteen (16) to use the Services or to provide us with Personal Data. We may refuse to provide the Services to anyone and may change our eligibility requirements at any time.

5. Account Registration and Security

You will register for an Account to use the Services. You agree to provide accurate information and to keep your credentials confidential. You are responsible for all activity that occurs under your Account, including any commercial transactions. You will not impersonate another person, transfer or sell access to your Account, or use another user's Account without permission. You must notify us promptly at [email protected] if you become aware of any unauthorised use of your Account or other security breach. We may require you to change your credentials, suspend your Account, or refuse registration if we reasonably believe your Account is no longer secure or that registration violates these Terms or applicable law. You may delete your Account or request deletion of your data at any time by emailing [email protected].

6. User Content and Licence to Ush

As between you and Ush, you retain ownership of your User Content. You grant Ush a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, modify, and create derivative works of your User Content solely as necessary to provide, secure, support, and improve the Services for you. We will not use your User Content for any other purpose without your permission, except as expressly permitted in these Terms or our Privacy Policy.

You represent and warrant that (a) you own or have all rights necessary to grant the licence above, and (b) your User Content does not infringe any third party's rights or violate applicable law.

7. Third-Party Account Access (Google OAuth)

To deliver the Services, you may grant us access to your Google Account via OAuth. By doing so, you represent that you are entitled to grant us such access without violating any third-party terms. Information received from a Third-Party Account is treated as your User Content for the purposes of these Terms, except to the extent we are required to handle it under the terms of the Third-Party Account or applicable law.

Your relationship with each Third-Party Account is governed solely by your agreement with that third party. We disclaim any liability for personally identifiable information that may be provided to us by a Third-Party Account in violation of the privacy settings you have set in that Third-Party Account. You may revoke our access to your Google Account at any time at https://myaccount.google.com/permissions.

8. Use of Google Workspace Data — Limited Use & No AI/ML Training

Limited Use. Our access, use, storage, and transfer of information received from Google APIs (including Gmail and Google Calendar) will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

No AI/ML training on Google Workspace Data. We do not use Google Workspace Data — including Gmail message content, attachments, headers, metadata, or Google Calendar events — to develop, improve, evaluate, fine-tune, or train generalised or non-personalised artificial intelligence (AI) and/or machine learning (ML) models, including large language models. Where the Services use third-party AI models to generate outputs for you, those models are operated under contractual terms that prohibit the model provider from using your data to train or improve their generalised models.

No advertising. No sale. We do not use Google Workspace Data for advertising of any kind, and we do not sell Google Workspace Data.

9. Acceptable Use

You agree to comply with all applicable laws, rules, and regulations, and that you will not:

  • Restrict or inhibit any other person from using the Services.
  • Use the Services for any unlawful, fraudulent, deceptive, defamatory, or harmful purpose.
  • Submit User Content that is infringing, libelous, obscene, harassing, or otherwise unlawful, or that you do not have the right to submit.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Send unsolicited commercial communications ("spam"), or use the Services to facilitate the same.
  • Harvest or collect information about other users.
  • Interfere with, probe, or disrupt the Services, the underlying infrastructure, or the security or integrity of the Services.
  • Reverse-engineer, decompile, or disassemble any part of the Services, or attempt to derive any source code or underlying ideas, except to the extent such restriction is prohibited by applicable law.
  • Use the Services to develop a competing product or to train any generalised AI/ML model.
  • Use any robot, spider, or scraper to access the Services other than for the limited purpose of public-search-engine indexing as we may permit from time to time.
  • Bypass or disable any technological measure that controls access to the Services.

10. Ownership of the Services

The Services and all content, features, and functionality (other than your User Content), including all software, designs, text, graphics, logos, trademarks, and other materials, are owned by Ush or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services in accordance with these Terms. We reserve all rights not expressly granted to you.

11. AI-Generated Outputs

The Services use third-party AI models to generate classifications, summaries, extracted scheduling fields, slot proposals, and draft replies (collectively, "AI Outputs"). AI Outputs may be incorrect, incomplete, or otherwise unsuitable for your purposes. The Services are intended to assist you, not to replace your judgement: you remain responsible for reviewing AI Outputs before relying on them, before they are sent on your behalf, and before any calendar event is created or modified, except for actions you have explicitly authorised the Services to take automatically. Ush makes no representation that AI Outputs will be accurate, current, complete, or fit for any particular purpose.

12. Copyright Infringement

We respect intellectual-property rights. If you believe in good faith that content available through the Services infringes your copyright, you may submit a notice under the U.S. Digital Millennium Copyright Act (DMCA) to [email protected]. The notice must include: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the allegedly infringing material with information sufficient to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorised; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorised to act on behalf of the rights holder.

13. Third-Party Links and Integrations

The Services may contain integrations with, or links to, third-party services. We do not control those services and are not responsible for their content, terms, or practices. Your use of any third-party service is at your own risk and subject to that service's terms.

14. Suspension and Termination

We may suspend or terminate your access to the Services, with or without notice, if you breach these Terms or applicable law, if your Account presents a security or integrity risk, or if we are required to do so by law. You may terminate your use of the Services at any time by deleting your Account or by emailing [email protected]. On termination, your licence to use the Services ends and we will delete your data in accordance with our Privacy Policy. Sections that by their nature should survive termination (including those relating to ownership, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

15. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY AI OUTPUT, SLOT PROPOSAL, OR DRAFT REPLY WILL BE ACCURATE OR FIT FOR ANY PARTICULAR PURPOSE.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Ush and its affiliates, officers, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, missed meetings, or business opportunities, arising out of or relating to your use of, or inability to use, the Services, even if we have been advised of the possibility of such damages. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under applicable law.

17. Indemnification

You agree to defend, indemnify, and hold harmless Ush and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your violation of any third party's rights, including any Third-Party Account terms.

18. Governing Law and Disputes

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts of England and Wales to settle any dispute arising out of or in connection with these Terms or the Services, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction. Nothing in this Section limits your non-waivable consumer-protection rights under the law of your place of residence.

19. Miscellaneous

  • Entire agreement: these Terms, together with the Privacy Policy and any additional terms we provide for specific features, are the entire agreement between you and Ush regarding the Services and supersede any prior agreements on the subject matter.
  • Severability: if any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver: our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms in connection with a corporate transaction.
  • Electronic communications: you consent to receiving communications from us in electronic form, and you agree that electronic communications satisfy any legal requirement for communications in writing.
  • Force majeure: we are not liable for any failure or delay in performance caused by events beyond our reasonable control.
